Terms & Conditions
Last Updated: October 12, 2023
1. Introduction
Welcome to Reedify System (“Reedify System,” “we,” “our,” or “us”). These Terms & Conditions govern your access to and use of our website, https://reedifysystem.com/, and any services we provide.
By accessing our website or engaging with our services, you agree to these Terms & Conditions. If you do not agree with these terms, please discontinue use of our website.
These terms apply to website visitors, prospective clients, and clients who engage our services, subject to any separate written agreement.
2. Our Services
Reedify System provides digital design and development services, which may include:
- UI/UX design and product design.
- Website design and development.
- Web application and mobile application development.
- Webflow and WordPress development.
- SaaS product design and development.
- Branding and visual identity design.
- Digital strategy and related technology services.
The specific scope of each project, including deliverables, timelines, pricing, revisions, and responsibilities, will be agreed upon separately with the client.
We reserve the right to update, modify, or discontinue website content and service offerings where appropriate.
3. Website Use
You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the website.
You must not:
- Use our website for fraudulent, unlawful, or misleading activities.
- Attempt to gain unauthorized access to our website, servers, or systems.
- Introduce malicious code, viruses, or other harmful technologies.
- Interfere with website functionality, security, or performance.
- Copy, reproduce, distribute, or exploit website content without appropriate authorization.
- Use automated tools to scrape, harvest, or collect website content in a way that violates applicable law or our rights.
We may restrict or suspend access where we reasonably believe these terms have been violated.
4. Project Proposals and Agreements
Submitting a contact form, requesting a quotation, or discussing a project does not automatically create a binding service agreement.
A project will begin once the relevant parties have agreed to the applicable scope, fees, payment terms, timeline, and other necessary conditions.
Depending on the project, these details may be documented in a proposal, quotation, statement of work, service agreement, or other written communication accepted by both parties.
If a separate signed agreement conflicts with these website terms regarding a specific project, the project agreement will take precedence for that engagement.
5. Pricing and Payments
Project fees, payment schedules, deposits, and other charges will be communicated and agreed upon before work begins.
Unless otherwise agreed in writing:
- Clients must follow the payment schedule established for their project.
- Deposits or advance payments may be required before work starts.
- Additional work outside the agreed scope may incur additional charges.
- Delayed payments may affect project timelines, delivery, or access to completed deliverables, subject to the applicable agreement and law.
- Any applicable taxes, transaction fees, or third-party charges will be handled as specified in the relevant agreement.
We will communicate material pricing or scope changes and obtain the necessary agreement before proceeding with additional billable work.
6. Project Scope, Revisions, and Delivery
Project deliverables, milestones, revision limits, and estimated completion dates will be defined in the applicable proposal or agreement.
Clients agree to provide the information, content, feedback, approvals, and access reasonably required to complete their projects.
Delays in receiving required materials, feedback, approvals, or payments may affect delivery schedules.
Requests that fall outside the agreed scope may require a revised quotation, timeline, or written change approval.
Any delivery dates are estimates unless a specific deadline is expressly agreed upon in writing.
7. Client Responsibilities
Clients are responsible for:
- Providing accurate project information and requirements.
- Ensuring they have the necessary rights to all supplied text, images, logos, videos, and other materials.
- Reviewing deliverables and providing timely feedback.
- Obtaining any permissions, licenses, or approvals required for their content or business operations.
- Maintaining the security of accounts and credentials under their control.
- Ensuring their intended use of the delivered work complies with applicable laws.
We are not responsible for delays or issues caused by inaccurate information, unauthorized materials, or a client’s failure to meet agreed responsibilities.
8. Intellectual Property Rights
Unless otherwise agreed in writing, Reedify System retains ownership of its pre-existing materials, reusable tools, internal methods, frameworks, code libraries, processes, and other intellectual property developed independently of a specific client deliverable.
Ownership, licensing, and permitted use of project-specific deliverables will be determined by the applicable project agreement.
Where a transfer of ownership or a license is agreed, it may be subject to full payment and any other conditions specified in that agreement.
Clients retain ownership of materials they provide to us, subject to any rights held by third parties.
Our website content, branding, logos, original graphics, and portfolio materials may not be reproduced or commercially exploited without appropriate permission.
9. Third-Party Tools and Services
Our projects may involve third-party platforms, software, plugins, hosting providers, APIs, fonts, stock assets, or other tools.
The use of these services may be subject to separate terms, license restrictions, subscription fees, and privacy policies imposed by their respective providers.
Unless expressly included in our agreement, third-party subscriptions, licenses, hosting fees, maintenance, and renewal costs are the client’s responsibility.
We do not control third-party services and cannot guarantee their continued availability, pricing, compatibility, or performance.
10. Portfolio and Project Showcase
Unless otherwise agreed in writing, we may request permission to showcase completed work in our portfolio, case studies, or marketing materials.
We will respect applicable confidentiality obligations and any written restrictions agreed upon with a client.
We will not knowingly publish confidential client information or private project materials in violation of an applicable agreement.
Clients who require confidential or unpublicized work should communicate those requirements before the project begins.
11. Confidentiality
Both parties should take reasonable steps to protect confidential information shared during a project.
Confidential information should only be used for the purposes for which it was provided and should not be disclosed to unauthorized parties, except where disclosure is authorized, legally required, or otherwise permitted by the applicable agreement.
Any specific confidentiality, non-disclosure, or data-processing obligations will be governed by the relevant written agreement.
12. Warranties and Service Limitations
We aim to provide professional services with reasonable care and skill. However, unless expressly agreed in writing, we do not guarantee that:
- A website or application will operate without interruption or errors.
- A project will achieve specific revenue, conversion, traffic, or business outcomes.
- Third-party platforms or integrations will remain available or unchanged.
- Search engine rankings, advertising performance, or business results will meet particular expectations.
- All software defects or compatibility issues can be eliminated.
Any warranties expressly provided in a project agreement remain subject to their stated scope and conditions.
Nothing in these terms excludes a warranty, guarantee, or consumer right that cannot lawfully be excluded under applicable law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Reedify System will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of profits, revenue, business opportunities, or data.
Our liability for a specific project will be governed by the applicable project agreement and relevant law.
Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability that cannot legally be waived.
14. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, or expenses arising from your unlawful use of our website, your infringement of third-party rights, or your breach of these terms.
This provision does not apply to the extent a claim results from our own conduct for which we are legally responsible.
15. Suspension and Termination
We may suspend or restrict access to our website if reasonably necessary to protect our systems, comply with legal obligations, or address misuse.
The termination of a client engagement, including outstanding payments, work completed, refunds, and transfer of deliverables, will be handled according to the applicable project agreement and relevant law.
Termination does not automatically remove obligations that are intended to continue, such as payment obligations already incurred, confidentiality, or intellectual property provisions.
16. Privacy and Personal Information
Your use of our website is also subject to our Privacy Policy, which explains how we collect, use, store, and disclose personal information.
By using our website, you acknowledge that you have had the opportunity to review our Privacy Policy.

Our website may contain links to third-party websites or services for your convenience.
We do not control these external websites and are not responsible for their content, availability, security, or privacy practices. Accessing third-party websites is at your own discretion and subject to their terms.
18. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in our website, services, business practices, or legal requirements.
Updated terms will be published on this page with a revised “Last Updated” date.
Changes will apply from the date indicated in the updated terms, subject to applicable law. Changes to an existing client agreement will be handled according to that agreement.
19. Governing Law and Dispute Resolution
These Terms & Conditions will be governed by the laws applicable to Reedify System’s business and the relevant transaction, without overriding any mandatory legal protections that apply to users or clients.
If a dispute arises, the parties should first attempt to resolve it through good-faith communication.
If the dispute cannot be resolved informally, the parties may pursue the remedies available under the applicable law and any relevant written agreement.
Important: Reedify System should specify its registered business jurisdiction and appropriate dispute forum before publishing this section.
20. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
21. Entire Agreement
These website terms, together with our Privacy Policy and any applicable project-specific agreement, govern your use of our website and the relevant services.
Where a separate written project agreement applies, it will take precedence over these terms for any conflicting provisions relating to that project.
